Terms of Service

1. Agreement

These Terms govern your use of Zentro Pay, operated by [LEGAL ENTITY NAME] ("we", "us"). By creating an account you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

2. What the service does

Zentro Pay is software that helps Philippine employers record attendance, compute payroll, generate payslips, and prepare statutory and tax documents.

What we are not We are a software provider. We are not your accountant, payroll bureau, tax agent or legal adviser. We do not file returns on your behalf, and we do not verify that the figures you enter are correct.

3. Your responsibilities

Statutory rates SSS, PhilHealth, Pag-IBIG and BIR rates change by circular. Zentro Pay stores them as effective-dated configuration so they can be updated without a software change — but you are responsible for loading current values and having them verified. We recommend review by a Philippine accountant before any live payroll run.

New accounts may receive a free trial. No card is required to begin. At the end of the trial the account reverts to read-only unless a plan is selected.

You retain ownership of all data you enter. We process it to provide the service, in accordance with our Privacy Policy. You may export your data at any time. On termination we delete or anonymise it once legal retention periods lapse.

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages and events beyond our control may cause downtime. Any service-level commitments applicable to your plan will be stated separately.

9. Disclaimers

The service is provided "as is". To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that computations will be correct for your circumstances. Payroll depends on data you supply and on rates you configure. You must review outputs before use.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising from or relating to the service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special or consequential damages, nor for lost profits, lost data, or penalties, fines or interest assessed by any government agency.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.

11. Indemnity

You agree to indemnify us against claims arising from your use of the service in breach of these Terms, from data you enter, or from your failure to meet your own statutory obligations as an employer.

12. Termination

You may cancel at any time; access continues to the end of the paid period. We may suspend or terminate for material breach, unlawful use, or prolonged non-payment, with notice where practicable.

13. Changes

We may update these Terms. Material changes take effect 30 days after notice by email or in-product notice. Continued use after that constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Disputes are subject to the exclusive jurisdiction of the courts of [CITY], Philippines.
